  6. MGM studio buys more time with lender agreement

    By Devin Zydel on 2009-10-01

MGM studio buys more time with lender agreement

LOS ANGELES (Reuters) – Hollywood studio Metro-Goldwyn-Mayer has secured a forbearance agreement with its lenders, winning some breathing room and liquidity as it continues to grapple with looming debt payments.

The studio, which has enlisted a restructuring specialist to help turn it around, faces debt obligations of $3.7 billion stemming from its 2005 buyout, plus payments on a $250 million revolving credit facility due April 2010.

Home to a renowned film library, including James Bond movies, MGM said the forbearance agreement, which expires December 15, exempts it from interest payments of an undisclosed amount as it continues discussion with lenders to develop a new capital structure and support a long-term business plan.

“With the agreement in place, MGM has taken an important first step in ensuring that the company has enhanced financial stability and adequate liquidity to implement its business strategies,” the studio said in a statement.

“The company is appreciative of its lenders’ ongoing support. Under the terms of the agreement, MGM’s lender group has agreed not to enforce its rights or remedies arising as a result of the company’s request to not currently pay interest due on September 30, October 31, and November 30, 2009.”

Last month, MGM replaced chief executive Harry Sloan with a team that included turnaround expert Stephen Cooper and production boss Mary Parent, as the storied Hollywood studio struggles to reduce a crushing debt load.

Its debt mostly stems from its 2005, $2.85 billion buyout by a group including private equity firms Providence Equity Partners; TPG; DLJ Merchant Banking Partners, a unit of Credit Suisse; and Quadrangle Group; and media firms Sony Corp and Comcast Corp.

The group, which bought MGM from its majority owner Kirk Kerkorian, also assumed debt of about $2 billion.

Hollywood insiders believe MGM needs to be merged or sold to be successful. But asked if MGM was considering an outright sale, Parent recently told Reuters MGM was positioning itself for the long term as a production company.

Cooper and Parent, along with MGM Chief Financial Officer Bedi Singh, have been named “members of the office of the CEO.”

According to film financing experts, MGM’s operations have largely been funded recently by its library cash flow and access to $500 million of financing set up for its United Artists label, partly owned by movie star Tom Cruise.

MGM in May hired investment bank Moelis & Co to help refinance its debt and said it was talking with a steering committee of 140 creditors as part of the process.

Cash flow from MGM’s film and TV library operations finished 2008 down about 5 percent from a year ago, a source familiar with the matter previously told Reuters.

  8. The Battle for Bond with Robert Sellers in Sheffield

    By Devin Zydel on 2009-10-01
    'Thunderball'

    Thunderball

Off the Shelf 2009, Sheffield’s annual celebration of writing and reading, will feature author Robert Sellers in attendance this year along with a screening of 1965’s Thunderball.

Sellers will be discussing his controversial and explosive best seller The Battle for Bond in which he argues that the screen version of James Bond was not Ian Fleming’s creation. The Ian Fleming Trust tried to ban this book, as it tells the story of how Fleming appeared in court accused of plagiarism.

The Battle for Bond is probably the most important book ever published about the evolution of James Bond and this event a must for all fans of 007. The talk will be followed by a screening of the new digital print of the classic Bond film Thunderball. This will be the first screening of this print outside of London!

This 007 event will be taking place at 5:00pm on Saturday, 31 October at the Showroom Cinema.

Tickets cost £4.00 – £6.00. To purchase tickets or for further information about attending, phone 0114 275 7727 or visit the official website.

  9. Rare James Bond novels signed by Ian Fleming hit the auction block

    By Devin Zydel on 2009-09-30
    Ian Fleming

    Ian Fleming

A first edition signed and inscribed copy of Ian Fleming’s Casino Royale, the book that introduced the world to its favorite secret agent, the one and only James Bond, headlines Heritage Auctions’ Rare Books auction, Oct. 16-17. The fact that the copy is signed by the renowned writer is reason enough to make it a desirable edition, but how Fleming tantalizingly inscribed the book may well make it the ultimate Bond collectible of them all:

“To M,” Fleming wrote, alluding to the enigmatic head of the British Secret Service. “These pages from my memoirs! Ian.”

It’s speculated by Bond experts that there are two possible sources behind Fleming’s inspiration for M, his soft-spoken spymaster. The first likely candidate is Maxwell Knight, a popular 1950s radio and television naturalist who led a secret existence as an MI5 spy runner. The second is thought to be Admiral John Godfrey, under whom Fleming served during World War II.

Heritage Auctions has estimated the book at $40,000+.

“We would normally be thrilled to have even one signed Ian Fleming first edition Bond book in any auction,” said James Gannon, Director of Rare Books at Heritage Auctions, “but here we have not only the first Bond book signed and inscribed, but also the second, Live and Let Die (estimate: $25,000+), the fifth, From Russia With Love (estimate: $22,000+), the seventh and ninth, Goldfinger (estimate: $14,000+) and Thunderball ($12,000+), and the eleventh, On Her Majesty’s Secret Service ($10,000+)—every one of them first editions and every one of them signed by Fleming.”

    Ian Fleming's 'Thunderball'

    Ian Fleming’s Thunderball

Ian Fleming had the kind of success that most any writer in the world would die for, though it didn’t come easy to him. Born into a wealthy, respected British family, he struggled early on to distinguish himself, never successfully evading the shadow of his more successful father and older brother as he tried his hand at banking and journalism. It was during the war that Fleming found what was to become his passion in Naval Intelligence, the source for all his creativity, wealth and his lasting literary legacy to the world.

Fleming discovered a gift for creative thinking within the structured environment of intelligence work. His ability to plot ingenious intelligence operations became known as the “Fleming flair” within the military. During the final year of the war, Fleming was sent to Jamaica for a naval conference, where he fell in love with the locale and where he would return after the war to build his retreat, Goldeneye. Writing from this exotic location and drawing on his military experiences, he would create James Bond and return yearly to write all of the Bond novels.

While maybe not as glamorous as the globe-trotting exploits of a licensed-to-kill secret agent, first and second volumes of The Federalist Papers, written by Alexander Hamilton, James Madison and John Jay, mark an equally interesting highpoint of the Heritage Auctions Oct. 16-17 event. Without a doubt The Federalist Papers were the most influential set of writings to come out of pre-Revolutionary War America, and were seminal in the establishment of the nascent American government.

Volume 1 is estimated at $25,000+, while Volume 2 is estimated at $20,000+.

“We’ve been fortunate at Heritage Auctions to become the go-to auction house for first and early editions of the Federalist,” said Gannon. “These two first edition copies add to the long history of offering the best examples of this most influential of American political works.”

Heritage Auction Galleries is the world’s third largest auction house, and by far the largest auctioneer of rare collectibles, with annual sales more than $700 million, and 470,000+ registered online bidder members. For more information about Heritage’s auctions, and to join and gain access to a complete record of prices realized, along with full-color, enlargeable photos of each lot, please visit www.HA.com.

  10. The link between Ian Fleming's Moonraker and T-Force

    By Devin Zydel on 2009-09-30

It’s widely known that author Ian Fleming took many of his real life experiences and turned them into plot points, character features and other trivia bits in his James Bond adventures. Now, a just published book by military historian Sean Longden has found a connection between the 1955 Bond novel Moonraker and Fleming’s work in a top secret World War Two unit called Target Force.

    Ian Fleming's 'Moonraker'

    Ian Fleming’s Moonraker

As Your Local Guardian reports, Longden came across the connection while performing research for his book, entitled T-Force: The Race for Nazi War Secrets, 1945.

‘I was sitting on the beach in Greece when I suddenly realised just how much of Moonraker—which is about a villain who acquires nuclear rocket technology—was based on Fleming’s experiences with Target Force,’ Longden said.

‘It has been known for some time that Fleming carried out intelligence work during the war, which could have influenced his novels, but I think it took my work on T-Force to reveal just how close the links are.’

Fleming is reported to have worked with Target Force, a unit who was tasked wih the job of bringing Nazi scientists to Britain before they were captured by the advancing Russians. ‘Fleming was sitting at the heart of the scientific intelligence community and it helped him in his work for the Admiralty as well as with his Bond novels,’ Longden noted.

    Ian Fleming

    Ian Fleming

‘After this research there is no doubt in my mind he plundered his recollections of the top secret files that passed across his desk for much of the material in Moonraker.’

One particular comparison involves the rocket plot point in Moonraker: in the novel, villain Sir Hugo Drax is highly involved with a top secret rocket project that will supposedly benefit Britain. This echoes the real life Operation Backfire—a British project to test German V2 rockets. Target Force was involved in Backfire by recovering missiles.
